Terms of Use for flip AI and MCP

These terms of use of the “flip AI” additional functionality (the “Terms”) govern the relationship between FLIP Joint Stock Company (FLIP JSC) and an End User who has a registered flip account when using the “flip AI” additional functionality of the “flip” computer program (“flip AI”), and are an integral part of the user agreement https://flip-chart.ru/en/user-agreement with the end user in respect of the “flip” computer program (the “Program”).

The Program may offer tools that are based on artificial intelligence, machine learning or similar technologies. By using the relevant tools of the Program, you accept the Terms and undertake to comply with them; otherwise, you must not use flip AI in the specific functionality.

By using flip AI, you confirm your full agreement with the Terms.

1. Terms and definitions

1.1 flip AI or AI Tool means the set of software solutions implemented in the Program that are based on artificial intelligence technologies (hereinafter, “AI”), including AI Chats, AI Agents, functions for generating text, recommendations and actions, and other forms of automated information processing.

1.2 AI Chat means functionality based on artificial intelligence technologies that is designed to provide text answers, hints, suggestions, analytics or other information in response to a triggering action of a user or a system event caused by the user’s activity (for example, the start of a call, the creation of a task, the opening of a deal, etc.).

1.3 AI Agent means a comprehensive software solution that may include:
• one or more artificial intelligence models;
• additional software components, tools and connectors that enable interaction with the external environment;
• settings, rules (prompts, access policies) and configurations that determine the AI Agent’s behavior, its permissions and limitations.

1.4 Technology / AI Model means a set of artificial intelligence methods, algorithms and software tools, including AI models. The Technology, as a foundation artificial intelligence model, is not in itself an AI Agent and is not capable of independently performing actions beyond generating text or predictions or processing input data. The Technology cannot install programs, execute commands or interact with the external environment without additional software layers provided as part of an AI Agent;

1.5 Software Solution means a set of computer programs, artificial intelligence models, components, settings and rules combined to perform the functions of an AI Agent.

1.6 Content means an object, information, an image or anything else generated by an AI Tool.

2. General provisions

2.1 flip AI operates by means of Technologies provided by third parties, through which a specific type of AI Tool functions.

2.2 When using a specific type of AI Tool, you must refer to the original text of the terms governing the use of the relevant Technology and/or Software Solutions established by their right holders or licensors (the “Right Holders”), since the Right Holders may change those terms or introduce new restrictions, as well as change the procedure for processing data, including personal data. By using an AI Tool through the Technology of another service, you confirm that you have read, agree to and accept the terms/rules of use of the connected Technology and/or Software Solution.

2.3 When functionality of the Program that allows AI Tools to be connected is used, the AI Tools may be launched automatically together with the launch of the relevant functionality. Launching such functionality entails the use of an AI Tool if this is provided for by the Portal settings and the action performed by the user involves its use. AI Agents are launched automatically from the moment the portal is created, but their operation is also initiated by users’ actions within the permissions granted to them.

2.4 If the Portal User has not disabled or restricted AI Tools before starting to use a specific functionality, launching that functionality may entail the use of an AI Tool. AI Agents may be launched in the Portal automatically from the moment the Portal is created. No additional actions by the Portal User are required to enable an AI Tool. The AI Tool will operate in accordance with the settings provided, which may entail the automatic collection and processing of the data required to perform its tasks, including the transfer of such data to the Right Holder.

2.5 When connecting the Technology of a third-party service to an AI Tool, you must independently review the terms and lawfulness of using such Technology, as well as the procedure for processing data, including personal data. By using an AI Tool through the Technology of another service, you confirm that you have read, agree to and accept the terms/rules of use of the connected Technology and/or Software Solution.

2.6 You independently assess whether it is appropriate to use AI Tools, as well as the functionality in which an AI Tool is used, and you assume responsibility, including for compliance with Applicable Law and with the requirements and restrictions of the Right Holders set out in the terms governing the use of the relevant Technology or Software Solution, including where you connect Technologies or Software Solutions not listed in the Terms.

2.7 We may amend the Terms unilaterally by publishing the amended text on the Internet at https://flip-chart.ru/en/terms-of-use-ai.

2.8 With regard to the processing of personal data, an integral part of the Terms is the instruction to process personal data issued by you to FLIP JSC, the text of which is published on the website: https://flip-chart.ru/en/policy.

3. Interaction with AI Agents

3.1 You agree that when AI Agents are used:

3.2 AI Agents are not subjects of law, and their actions are always deemed to be the actions of the Portal User who deployed (launched) the AI Agent, including where the AI Agent is exploited by third parties against the User’s will through a specially crafted request that makes the AI Agent perform unwanted actions; where the AI Agent’s actions are influenced by malicious content in external sources (web pages, documents, emails); where incorrect configuration of access rights may lead to damage to data or the system; or where the AI Agent starts sending messages on behalf of the User, which may cause harm;

3.3 the actions of such agents (for example, generating tasks, suggestions and notifications, integration with other services, etc.) may be performed without a direct request from the User who deployed (launched) the AI Agent;

3.4 the User undertakes to monitor the actions of AI Agents within the User’s accounts;

3.5 You are responsible for, and assume the risks of, interacting with an AI Agent and granting it access to any information, including through MCP services.

3.6 Access to information. Upon connection, an AI Agent receives the same access to information as is provided for your account.

4. Interaction with AI Chat

4.1 AI Chat (in various functionalities of the Program) or the Technology may be or become unavailable, blocked or prohibited for use by the laws of the country where you are located. AI Chat may be unavailable or work slowly for reasons that depend on the Right Holders and not on FLIP JSC.

4.2 When AI Chat is used, Content may be generated by means of one of several Technologies, as chosen by the Space User and/or the Space Administrator.

4.3 When using AI Chat, each Space User may choose any of the available Technologies, including a Technology connected to AI Chat by the Space Administrator.

5. Terms of use and restrictions regarding Content

You understand and agree that:

5.1 Content is generated in response to a request, which may be formed either when the Space User enters any data or as a result of the operation of an AI Tool within functionality of the Program that allows an AI Tool to be used in accordance with the Terms, or within the Space as a whole;

5.2 Content may not be unique due to the nature of the Technology’s machine learning, and other users may receive similar or identical Content if the input data of the request (the “Request”) is the same. Content generated in response to other users’ Requests is not considered your Content;

5.3 Content may not reflect real facts;

5.4 Content may contain watermarks or other marks and/or captions that are generated automatically and/or indicate that the Content was created (generated) using Technologies. The use of technical means to remove, alter or conceal such marks is prohibited. When distributing Content that requires labeling under the law, you undertake to apply such labeling yourself;

5.5 FLIP JSC does not create or modify Content, nor is it the initiator of the creation and/or posting of Content, and it cannot and is not required to know about any possible infringement of third-party rights or violation of the law when you use data in a Request or the Content itself. FLIP JSC also cannot be deemed the initiator of the creation of Content; the initiator is the Space User using functionality of the Program that allows an AI Tool to be used;

5.6 Content may be used by the Right Holders, including to develop and improve their Technologies, in accordance with the terms/rules of use of the relevant Technology;

5.7 FLIP JSC may process the Request/Content provided by you when using an AI Tool to create and train ML models. This includes collection, analysis, recording on tangible media, systematization by various criteria, analysis, accumulation and storage, clarification (technical modification, adaptation), retrieval, use, deletion and destruction. You warrant that you hold all rights and permissions to the Request/Content required for its use by FLIP JSC;

5.8 Your rights to Content when using an AI Tool are governed by the terms/rules of use of the relevant Technology.

6. Other provisions

6.1 FLIP JSC provides preset short instructional or question texts in AI Tools (“Pre-prompts”), which are provided to you to ensure structured and purposeful interaction between the Space User and artificial intelligence. You may use the prepared Pre-prompts or create your own when connecting the Technology you have chosen. Portal Users may send FLIP JSC data on the operation of the AI Tool and its interaction with the Technology, including third-party Technology, including data and/or information at their discretion, for the purpose of improving the Pre-prompts you use in such interaction.

7. Restrictions and liability

7.1 You may not use AI Tools:

7.1.1 in a manner that violates Applicable Law, the rights of third parties, or the terms/rules of use of the relevant Technology. This includes the prohibition on presenting Content as created by a human if this is not true, as well as any other violation of the policies or terms of use of the Technologies established by the Right Holders or by Applicable Law;

7.1.2 for the purpose of making decisions that have legal consequences for individuals without human involvement, including for the automated assessment of employees or customers;

7.1.3 to reverse engineer, decompile, disassemble, translate or take any other action aimed at obtaining the source code, algorithms or components of the Technologies or at extracting the underlying models, and/or to use Content generated by the Technologies to create, synthesize or reproduce similar content (including voice-over, performances, images) outside the AI Tools provided in the Program, and/or to use the Technologies to synthesize new performances or other content based on previously generated Content, unless such use is expressly permitted by the terms of the relevant Technology.

7.1.4 to use Content to develop services or programs that compete or may compete with the Technologies;

7.1.5 except as permitted through the Technologies’ API, to use any automated or programmatic methods to extract data or output from the Technologies, including scraping, web harvesting or web data extraction;

7.1.6 to generate or distribute false information and/or Content, as well as private and/or personal information that may be used to harm third parties or for the purposes of discrediting, humiliating or otherwise harassing them. This includes discrimination against or harm to individuals or groups based on their social behavior online or offline, or on known or predicted personal or personality characteristics;

7.1.7 for fully automated decision-making that may adversely affect human rights;

7.1.8 to create or distribute information for use in the administration of justice, law enforcement, immigration or asylum processes, and other similar areas of activity;

7.2 By using AI Tools, you accept and agree that:

7.2.1 The User using AI Tools is responsible for:
• informing third parties (for example, employees) about their interaction with AI Tools: before allowing Space Users to use AI Tools, familiarizing them with the Terms. The use of AI Tools by Portal Users confirms that you have fulfilled this obligation and makes you responsible for the actions of the Space Users;
• compliance with the applicable legal requirements in the field of personal data protection and automated decision-making, including monitoring and complying with the laws applicable to the use of artificial intelligence; you also assume the risk of infringing the rights of third parties when using Content;
• the configuration and operation of the AI Agent and the determination of its rights and permissions, including but not limited to the configuration of the security system. The User determines which models, tools and services the AI Agent uses and what scope of access it is granted.

7.2.2 You warrant that you have obtained all necessary consents and have the necessary rights to transfer the information processed by AI Tools to the Right Holder of the relevant Technology and to FLIP JSC, and you are responsible for the transfer of personal data and for the consequences of the processing by FLIP JSC and the Right Holder of the personal data you provide.

7.3 FLIP JSC is not liable for:

7.3.1 any damage, lost profits, or loss of revenue, profit, information or savings related to the use of or inability to use AI Tools and Content. This also applies to any consequences of using AI Tools and/or choosing a Technology, possible losses and/or fines, as well as infringements of third-party rights or violations of the law committed by you when using Content;

7.3.2 the fact and/or consequences of any of your information, including information protected by law, being compromised or becoming accessible to third parties in connection with the use of AI Tools;

7.3.3 actions, decisions or recommendations produced by AI Tools, including AI Agents:
• actions performed by an AI Agent to install, configure or remove programs;
• the results of an AI Agent’s operation, including any losses arising from its use;
• the compliance of the AI Agent’s settings with legal requirements or security policies;
• the consequences of the AI Agent’s use of external services, APIs or tools connected by the User.

7.4 FLIP JSC reserves the right to:

7.4.1 block or restrict the ability to use AI Tools if legislative or other restrictions are imposed on the use of the Technology or similar services/computer programs. This may also be done at the company’s discretion if there are grounds to believe that you are violating the Terms, your obligations and/or warranties. The company may independently conclude that a violation may have occurred based on the available information, including complaints;

7.4.2 impose limits on the number and/or frequency of Requests and on the number of characters in a Request for a Space User.

8. Technologies in AI Tools and their terms of use

8.1 By using Image assistant, you accept the terms of the Artgeneration.me license, the text of which is published on the Internet at https://artgeneration.me/docs/rules. The Technology is not part of the Program.

8.2 By using (i) GigaChat, you accept the user agreement for the GigaChat service published at https://developers.sber.ru/docs/ru/policies/gigachat-agreement/beta#3-ogranicheniya-po-ispolzovaniyu-ii-servisov, and the acceptable use policy for AI services of Sberbank PJSC published at https://developers.sber.ru/docs/ru/policies/gigachat-agreement/permissible-use-ai, together referred to as the “Sberbank Documentation”. The right holder of the Technology is Sberbank PJSC (OGRN 1027700132195), hereinafter “Sberbank”. The Technology is not part of the Program.

8.3 By using YandexGPT, you accept the user agreement for the “YandexGPT” service published at https://yandex.ru/legal/yagpt_termsofuse/, the right holder/licensor of which is Yandex LLC (OGRN 7736207543). The Technology is not part of the Program.

8.4 By using IT-Solution, you accept the user agreement for the “GPT connector” service published at https://it-solution.kdb24.ru/article/read/92d3f78d7b854667bdeb0840c004d2f9/. The licensor is IT-Solution LLC (INN 7814314249). The Technology is not part of the Program.

8.5 By using BitrixGPT, you use a Technology whose right holder is Bitrix LLC, implemented on the basis of a locally installed Qwen solution (built with Qwen). BitrixGPT is used on the basis of the Terms.

8.5.1 When the BitrixGPT Technology is connected, by submitting a Request and/or creating Content you grant 1C-Bitrix the right to use the Request/Content under a simple (non-exclusive) royalty-free license valid for the entire term of the exclusive right, including by the following means: reproduction, distribution, public display, import, rental, public performance, translation or other adaptation, including modification and adaptation, and making available to the public;

9. Software Solutions that are AI Agents

9.1 You may connect one or more AI Agents based on the software solutions listed below to the Space. Before connecting, review the terms and configuration of the solution.

9.1.1 AI Agent based on OpenClaw.

9.1.2 The AI Agent based on OpenClaw is a third-party development that you install locally on a server. You determine, at your own discretion, the Technology used by the AI Agent.

9.1.3 When connecting an AI Agent based on OpenClaw, read the developer’s documentation available at https://trust.openclaw.ai/

9.1.4 The OpenClaw agent is provided by its developer on an “as is” basis.
